01 Agreement to these terms
By accessing or using OpenProperty's services — including openproperty.io, the OpenProperty API and the professional portal — you agree to be bound by these Terms of Service. These terms form a legally binding agreement between you and OpenProperty Tech Limited (Company No. 14882283), 116 Yardley Road, Birmingham, B27 6LG, trading as OpenProperty.
02 The services
OpenProperty provides B2B data infrastructure to property professionals, including the OpenProperty API for accessing verified Property Passport data, the professional portal, estate agent white label tools where separately agreed, and shared search data services currently in development. Service availability and features are subject to change with reasonable advance notice.
03 Access, accounts and API keys
- Provide accurate and complete registration information and keep it current
- Keep API keys confidential — do not publish, share or commit them to public repositories
- Notify us immediately at contact@openproperty.io of any unauthorised use of your account or API key
- Each API call made using your credentials is your responsibility, whether or not authorised by you
We may suspend access without notice where we have reasonable grounds to believe your account has been compromised or poses a risk to the integrity of the network.
04 Acceptable use
Use OpenProperty services only for lawful professional purposes related to property transactions. You must not:
- Access Property Passport data without a valid, active homeowner access grant
- Attempt to circumvent, reverse engineer or interfere with the OpenProperty platform or authentication systems
- Resell or sublicence API access without our written consent
- Use verified Passport data for purposes outside the scope of the homeowner's consent grant
- Retain homeowner data beyond the period necessary for the relevant transaction
05 Homeowner data — your obligations
When you access Property Passport data you act as a data processor, with the homeowner as data controller. You must process data only for the purpose for which access was granted, delete it when no longer required, implement appropriate security measures, and cooperate with any request from us or a homeowner relating to their data rights.
Scope of consent
The homeowner's access grant is specific in scope and duration. Using data outside that scope — or retaining it beyond necessity — is a breach of these terms and may constitute a breach of UK GDPR.
06 Intellectual property
The OpenProperty platform, software and documentation are the intellectual property of OpenProperty Tech Limited. We grant you a limited, non-exclusive licence for your internal business use. Homeowner Passport data belongs to the homeowner — OpenProperty claims no ownership of it.
07 Fees and payment
- Subscriptions: Subscription fees are payable in advance for the subscription period.
- API fees: API usage fees are calculated on actual usage and invoiced monthly.
- VAT: All fees are exclusive of VAT, charged at the applicable rate.
- Late payment: We may suspend access where invoices remain unpaid 30 days after the due date.
We will provide 30 days' notice of any price changes for existing subscriptions.
08 Limitation of liability
Verification confirms that a certificate was issued by a registered body — it is not a warranty as to underlying property condition. Our total liability shall not exceed the greater of: (a) fees paid in the preceding 12 months; or (b) £10,000. We are not liable for indirect or consequential loss, loss of profits, or loss arising from your reliance on verified data where professional judgement was not exercised. Nothing limits our liability for death, personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
09 Termination
You may terminate at any time by contacting contact@openproperty.io. We may terminate immediately for material breach or on 30 days' notice otherwise. On termination, your API and portal access will be disabled and you must delete homeowner data retained beyond active transactions.
10 Governing law and disputes
These terms are governed by English law. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales. Before legal proceedings, both parties agree to 30 days of good faith negotiation followed by CEDR mediation if needed.
